| 中文摘要:我国理论界基于物权法定原则而对铁路提单质押的合法性多有质疑，这已严重影响了铁路提单质押融资功能的发挥。然而，断言铁路提单质押违反物权法定原则而无效的理由不能成立。事实上，铁路提单质权契合了我国《民法典》中的功能主义担保观，具有实定法依据，并不违反物权法定原则。至于铁路提单质押融资实践中可能引发的问题，则可以通过科学的法律解释方法予以化解，同样不能据此就否定铁路提单质押的合法性。司法实践应当认可铁路提单质押的效力，从而积极助力西部陆海新通道建设。 |

| On the Legitimacy of Railway Bill of Lading Pledge |

| Abstract:In China’s academic circle, the legitimacy of the railway bill of lading pledge has been widely questioned on the ground of the principle of numerus clausus of real rights, which has seriously restricted the financing function of the railway bill of lading pledge. Nevertheless, the argument that the railway bill of lading pledge is invalid due to its violation of the principle of numerus clausus of real rights is untenable. In fact, the security interest in the railway bill of lading conforms to the functionalist approach to security interests as stipulated in the Civil Code of the People’s Republic of China, possesses a solid legal basis, and does not contravene the principle of numerus clausus of real rights. Potential problems arising from the practice of railway bill of lading pledge financing can be addressed through sound legal interpretation, which shall not serve as grounds to deny the legitimacy of such pledge. Judicial practice ought to recognize the validity of the railway bill of lading pledge, so as to effectively boost the construction of the New International Land-Sea Trade Corridor. |
