| 中文摘要:现行境外上市网络安全审查制度在形成之初带有明显的应急性立法色彩，随着制度环境和立法背景的不断变化，其不足之处日益凸显。在制度定位上，其与传统网络安全审查的定位偏离，在国家安全审查体系中定位模糊。在制度实践上，其因审查对象的范畴不明、审查内容的规制疏漏、制度规则的交叉重叠而产生了一系列问题。为此，应当摆脱其应急性立法的属性，强化制度的全局性和战略性考量，将其视为数字主权战略、金融开放格局与国际制度竞争的交汇点，统筹推进制度的修正与重塑。理念层面，应当摆脱绝对安全的桎梏，在风险可控的前提下寻求国家安全与市场效率的动态平衡；体系层面，应当厘清制度的核心定位，强化其与数据安全审查、外商投资安全审查和证券监管制度之间的区分与协调；规则层面，应当以制度功能为导向，对审查对象、审查内容、审查规则等进行优化调整。 |

| Institutional Revisions of Cybersecurity Review for Overseas Listings from the Perspective of Digital Sovereignty |

| Abstract:The existing cybersecurity review regime for overseas listings was initially established as an emergency legislative response. However, with the evolution of the regulatory environment and legislative context, its inherent deficiencies have become increasingly evident. In terms of institutional positioning, it diverges from the traditional cybersecurity review framework and remains ambiguous within the broader national security review system. In practice, it suffers from unclear definitions of review subjects, regulatory loopholes in review content, and overlapping rules across different regimes. To overcome its emergency-driven attributes, the system should be reframed with holistic and strategic considerations, positioning it at the intersection of digital sovereignty strategy, financial openness, and international regulatory competition. At the conceptual level, the system should move beyond the constraint of pursuing absolute security and instead seek a dynamic balance between national security and market efficiency under the premise of controllable risk. At the structural level, it is essential to clarify the core institutional positioning and strengthen differentiation and coordination with data security reviews, foreign investment security reviews, and securities regulatory regimes. At the regulatory level, the system should be function-oriented, optimizing and refining the scope of review subjects, review content, and procedural rules. |
