中文摘要:中国证监会发行审核委员会作为实施我国股票发行核准制的一个配套制度设置，其命运与核准制一样，自成立以来就逃不脱业界与公众的诟病，其组成和运作机制虽在2003年后经重大改革，仍远未满足公众的要求。为帮助其获取业界与公众的信任与支持，对发审委的法律地位、目前的组成和运作机制之不足进行研究并予以改善，是比对发审委及其委员进行事后问责成本更低但更为有效的方法。

Analysis on Legal Status and Operating Mechanism of Issuance Examination Committee of China Securities Regulatory Commission

Abstract:As a supporting mechanism for approval system of public stock issue, the Issuance Examination Committee of China Securities Regulatory Commission(CSRC) has been the target of criticisms since it was established. Although the Issuance Examination Committee has undergone some significant reforms since 2003, it still does not meet expectations of the industry and the public. In order to help it secure support and trust from the industry and the public, the way of conducting research on its legal status and the defects in its composition and operation mechanisms, and then remedying the defects, seems more desirable than calling the committee and its members to account after problematic issuance.
